Individual members, acting on their own, outside the board meeting, do not have the legal authority to act for or as the board, unless a member is acting with prior authorization at performing a service to or for the board for which he receives no compensation. Board business can be legally conducted only when the board members act with other members of the board at a regular or special board meeting and the proceedings are recorded in the official minutes book.
